1. Acceptance and Contract Framework
These Terms govern use of the EarnPe website, applications, affiliate/referral services, tracking technology and related services. By registering, accessing or using the Platform, you agree to these Terms, the Privacy Policy and any applicable campaign-specific terms, traffic guidelines, advertiser requirements and written instructions issued by EarnPe.
2. EarnPe's Role
EarnPe operates an affiliate/referral and tracking platform connecting users or publishers with participating retailers, advertisers and merchants. Unless expressly stated otherwise, EarnPe is not the seller or supplier of products or services offered by third parties and is not a party to the underlying transaction.
3. Campaign-Specific Terms
Every campaign may have additional terms covering traffic sources, promotional methods, placements, keywords, audiences, brand use, coupon/cashback rules, incentivisation, PPC, social media, email, applications, websites, sub-publishers and other restrictions. Campaign-specific terms form part of the rules governing participation.
4. No Blanket Authorisation
Approval of a publisher, campaign, account, tracking link, tracking ID, sub-ID, VRF or email communication does not constitute blanket approval for every traffic source, promotional method, placement or distribution method. A waiver of a restriction is effective only if EarnPe expressly confirms it in writing.
5. Traffic Compliance
You may generate traffic only through sources and methods expressly permitted for the relevant campaign. Prohibited activity may include unauthorised paid advertising, brand bidding, misleading advertising, forced redirects, cookie stuffing, click injection, automated traffic, prohibited incentivised traffic, spam, deceptive placements, cloaking, manipulation of tracking parameters and any source expressly excluded by EarnPe, the advertiser or campaign terms.
6. Publisher and Sub-Publisher Responsibility
A publisher remains responsible for activity conducted through its account, tracking links, sub-publishers, affiliates, agencies, media buyers, websites, applications and advertising accounts. A publisher must not represent that EarnPe approved a traffic source or method unless EarnPe expressly provided that approval in writing.
7. Tracking and Attribution
EarnPe may use tracking links, cookies, pixels, server-side events, device/browser information, referral identifiers, sub-identifiers and transaction identifiers to measure clicks, referrals, conversions, transactions, campaign performance and commission eligibility.
8. Records and Evidence
EarnPe may maintain electronic records relating to accounts, campaign participation, communications, tracking links, clicks, referrals, conversions, traffic sources, sub-identifiers, transactions, commissions and compliance activity. Such records may be used for attribution, reconciliation, fraud prevention, compliance investigations, dispute resolution and enforcement, subject to applicable law.
9. Compliance Investigation
EarnPe may investigate activity reasonably connected with fraud, abuse, security, attribution integrity or campaign compliance. Subject to applicable law, EarnPe may request evidence, restrict access, suspend accounts, disable links, withhold or reverse commissions, or take other appropriate action.
10. Commissions
Commissions are payable only for qualifying transactions recognised and validated under applicable retailer and campaign rules. Returns, cancellations, rejected transactions, tracking failures, retailer decisions, fraud indicators, prohibited traffic and policy violations may result in rejection, reversal, delay or adjustment.
11. Recovery of Improper Payments
Where EarnPe determines that a commission or reward was credited or paid in error, or resulted from prohibited, fraudulent or non-compliant activity, EarnPe may adjust the account and seek recovery of amounts improperly paid, subject to applicable law.
12. Prohibited Conduct
Users must not use the Platform for unlawful, fraudulent, deceptive, abusive or unauthorised purposes, including link manipulation, cloaking, automated scripts intended to create artificial activity, misleading representations, fraudulent transactions, unauthorised advertising, tracking interference or activity designed to obtain commissions outside campaign rules.
13. Suspension and Termination
EarnPe may suspend, restrict or terminate access where it reasonably believes these Terms, campaign requirements, advertiser requirements, law or security requirements have been breached or where continued access presents a material risk. Survival provisions remain effective after termination.
14. Intellectual Property
EarnPe and its licensors retain rights in the Platform, software, branding, documentation, tracking technology and other proprietary materials. No licence is granted beyond the limited use necessary to participate lawfully in the Platform.
15. Indemnity
To the extent permitted by law, the user will indemnify EarnPe and its affiliates, officers, employees and representatives against claims, losses, liabilities, penalties, costs and reasonable legal expenses arising from breach of these Terms or campaign rules, prohibited traffic through the user's account, acts of sub-publishers, third-party rights violations or unlawful conduct.
16. Limitation of Liability
To the maximum extent permitted by law, EarnPe will not be liable for indirect, incidental, special or consequential losses, loss of anticipated profits or commissions, or losses arising from third-party transactions, except where such exclusion is prohibited by law. Mandatory statutory rights and liabilities remain unaffected.
17. Amendments and Notices
EarnPe may update these Terms. Material changes should be communicated by reasonable means and the revised effective date should be displayed. EarnPe should retain a version history of material campaign and policy changes.
18. Electronic Communications
Users agree, to the extent permitted by law, to receive account, campaign, contractual and service communications electronically. Electronic records maintained by EarnPe may be used as evidence of communications and Platform activity subject to applicable evidentiary requirements.
19. Governing Law and Jurisdiction
These Terms are governed by the laws of India. Mandatory statutory forums are not excluded where exclusion is unlawful.
